The agreement between us.

These Terms of Use govern your access to and use of the DAOasis website, the DAOasis Companion App, and the related features, content and services DAOasis makes available. By using any of them, you agree to these terms. If you do not agree, please do not use DAOasis.

These terms should be read together with the Privacy Policy, the Cookie Policy, the Health Data page and the Token & Web3 Disclaimer. Where any of those documents deals with a subject specifically, that document governs it.

The DAOasis entity you are contracting with is DAOasis Global Ltd, registered in the United Kingdom. Its company number and registered office are on the public register at Companies House, under the company name.

To use DAOasis you must be at least the minimum age that applies where you live, be able to enter a binding contract, and not be barred from using the service under any applicable law or sanctions regime.

The minimum age for a DAOasis account is Minimum age to be confirmed. DAOasis is designed for adults and is not built for children.

Some parts of the ecosystem may be unavailable, or available only on different terms, in certain jurisdictions — particularly anything involving $DVT. Where that is the case, DAOasis may restrict access to that functionality. It is your responsibility to know whether using a given feature is lawful where you are, and to stop if it is not.

DAOasis may require verification of your identity, age or location before providing certain functionality, where that is necessary to meet a legal or regulatory requirement.

Subject to these terms, DAOasis grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the service for your own non-commercial use.

You agree to use DAOasis for its intended purpose, to comply with applicable law, and to respect other members. What is specifically not allowed is set out in section 17.

You are responsible for the device, connectivity and software you need in order to use DAOasis, and for any costs your provider charges you for that.

Some features require an account. When you create one, you agree to provide accurate information and to keep it up to date.

You are responsible for keeping your credentials confidential and for activity that occurs under your account. Tell us promptly if you believe your account has been accessed without your permission.

One person, one account. Accounts are personal and may not be sold, rented, shared or transferred. Creating multiple accounts to obtain additional DRC or other benefits is a breach of these terms.

You may close your account at any time. What happens to your information when you do is covered in section 13 of the Privacy Policy. Closing your account ends any DRC balance associated with it — DRC is a recognition mechanism tied to your participation record, and it does not survive as a claim against DAOasis.

The Companion App is where daily participation begins. It is currently In development — its core architecture is built and end-to-end flows are being completed.

Device and platform integrations

The app is designed to work with health platforms and wearable devices so that information you already generate does not have to be entered by hand. Connecting a platform is optional and requires your permission. Apple HealthKit and Google Health Connect are the priority integrations identified for the app's first release; other integrations described on this website are planned rather than live.

DAOasis does not control third-party platforms or devices, and cannot guarantee their accuracy, availability or continued support. If a platform changes or withdraws its interface, related DAOasis functionality may change or stop working.

Accuracy

Activity and wellness measurements — whether read from a device or entered by you — are estimates. They are not clinical measurements and should not be relied on as such.

Availability

App store distribution, supported operating system versions, and the features available in a given release are subject to change, and are also subject to the rules of the app stores themselves.

DAOasis provides wellness content, behavioural guidance, learning material across two tracks, and insights based on your own logged activity.

Before beginning any new exercise, breathing, nutrition or wellness practice, consider whether it is appropriate for you, and consult a healthcare professional if you have any condition, are pregnant, are taking medication, or are in any doubt. You participate in physical activity at your own risk.

Educational content about digital ownership, tokens and blockchains is provided for education only. It is not financial, investment, legal or tax advice. See section 10 and the Token & Web3 Disclaimer.

Quests are participation activities across the six daily habits — Move, Rest, Breathe, Hydrate, Nourish and Learn — and community challenges. Completing them moves your journey forward and is recognised through DRC.

Verification is tiered according to how confirmable an action genuinely is: automatically verified through a connected platform, manually logged by you, or recorded on the honour system, with recognition weighted accordingly.

You agree to log participation honestly. Falsifying activity — by manipulating device data, using automation or simulation, or logging activity that did not happen — is a breach of these terms and may result in adjustment of your record, loss of DRC, or suspension. This is not a technicality: fabricated participation devalues the recognition earned by people who did the work.

DAOasis may adjust, correct or reverse participation records and DRC where they resulted from error, a technical fault, or a breach of these terms.

The design of quests, categories, journey mechanics, verification tiers and recognition weightings may change as the product develops.

DRC recognises participation inside the DAOasis experience. It is earned through participation and held inside the app.

DRC is personal to your account and may not be sold, transferred or traded except through a facility DAOasis expressly provides.

DRC may be convertible into $DVT. Conversion rates, caps, eligibility criteria and timing are In design and are subject to change, to implementation, and to applicable legal and regulatory requirements. DAOasis does not guarantee that conversion will be available to you, in your jurisdiction, at any particular rate, or at all.

DAOasis may modify how DRC is earned, weighted, capped or expired as the product develops. Where a change materially reduces DRC already recognised, we will give notice before it takes effect. DRC associated with an account ends when that account is closed or terminated.

$DVT is the DAOasis Value Token, the on-chain layer of the ecosystem. Using it is entirely voluntary. The Companion App can be used in full without ever interacting with a token, a wallet or a blockchain.

$DVT is designed for utility within the ecosystem: marketplace use, governance, staking, Stake to Create, and contribution to DAOasis. Each of those is at a different stage of development, and the relevant section below says which.

Your responsibilities

• Your wallet is yours. DAOasis does not take custody of your wallet and does not hold your private keys or recovery phrase. If you lose them, neither DAOasis nor anyone else can recover your assets.
• Transactions are irreversible. Once confirmed on a blockchain, a transaction cannot be undone by DAOasis or by anyone.
• Network conditions are not ours. Fees, congestion, forks, outages and protocol changes are outside DAOasis's control.
• Nobody from DAOasis will ever ask for your recovery phrase or private key. Any message that does is fraudulent.
• Tax is yours. You are responsible for determining and meeting any tax obligations arising from your activity.
• Local law is yours to know. You are responsible for complying with the laws that apply where you are.

Token functionality is subject to applicable law and may be changed, restricted, delayed, suspended or withdrawn — including in particular jurisdictions — where legal, regulatory or technical circumstances require it. DAOasis may be required to make such changes at short notice.

The specific blockchain, wallet connection method and technical infrastructure to be used are Technical architecture to be confirmed.

Staking

In design Staking is intended as a way of signalling longer-term alignment with the ecosystem. Its mechanics remain subject to development and to applicable legal and regulatory requirements. No returns are promised. Staking is not a deposit, not an interest-bearing product, and not a way of generating income from DAOasis.

Governance

Introduced in stages $DVT is designed to carry governance participation. Governance is being introduced progressively rather than switched on at once. The scope of what may be decided, who may participate, and how, will be published as each part is implemented. Governance participation does not create a shareholding, a partnership, a directorship or any legal control over DAOasis, and DAOasis retains responsibility for legal, regulatory, safety and operational decisions.

In development The marketplace is intended to be where $DVT can be used for eligible products, experiences and ecosystem offerings. It is being developed and is not operational today.

When it launches, additional terms will apply to purchases made through it, covering the things purchase terms have to cover: pricing, cancellation, refunds, delivery and dispute handling. Where a third party supplies a product or experience through the marketplace, that supplier's terms may also apply, and DAOasis's role may be limited to facilitating the transaction.

Which offerings are eligible, and in which jurisdictions, will be determined by legal, regulatory and operational requirements.

In development The Sanctuary is the planned physical expression of the DAOasis ecosystem, with a first pilot planned for Phuket in 2027.

Descriptions of the Sanctuary on this website — the location, the programme, the facilities, the seven-day rhythm and the illustrative daily timings — describe an intention and are subject to change. They are not a published timetable and not a commitment to specific facilities.

$DVT is designed to carry access to Sanctuary experiences. That design is not yet implemented, and holding DRC or $DVT does not currently entitle you to a stay, a booking, a discount or priority.

When physical experiences become available, they will be governed by separate booking terms covering payment, cancellation, conduct on site, health and safety, insurance, liability and local law. Nothing in these terms constitutes such a booking.

DAOasis includes community features. What makes them worth having is how people behave in them.

Your contributions remain yours

You keep ownership of your User Contributions. By submitting them, you grant DAOasis a worldwide, non-exclusive, royalty-free, transferable and sub-licensable licence to host, store, reproduce, adapt, publish and display them for the purpose of operating, promoting and improving DAOasis. That licence continues for material others have interacted with or that we are required to retain, and otherwise ends when you delete the contribution or close your account.

You confirm that you have the right to submit what you submit, that it does not infringe anyone else's rights, and that it does not breach these terms.

Moderation

DAOasis may — but is not obliged to — review, moderate, edit, restrict, remove or refuse User Contributions, and may suspend access to community features. We will act proportionately, but we do not pre-screen everything, and we do not endorse what members post.

Community guidance may be published separately and, where it is, forms part of these terms. Nothing in a community feature is professional advice — including anything another member says about health, wellness, tax, law or digital assets.

In design · not yet operational Stake to Create is the planned mechanism through which a member may stake $DVT to put forward and deliver approved contributions to the ecosystem — content, products, events, education and community initiatives.

Three things about it, stated now rather than discovered later:

• Approval is required. Participation is subject to DAOasis rules and approval. Putting forward a proposal — and staking behind it — does not entitle you to have it accepted, published, promoted or funded.
• It is not an investment. Staking $DVT in connection with a contribution is not a purchase of a financial interest and carries no promise of return, revenue share, profit or repayment. Any commercial arrangement relating to an approved contribution will be set out in a separate agreement.
• It is not built yet. The mechanics, eligibility, approval process, accountability standards and any consequences of non-delivery are in design and subject to future implementation and applicable law.

Contributions accepted through Stake to Create will be governed by additional terms covering scope, rights, standards, accountability and what happens if a contribution is not delivered.

DAOasis, the DAOasis name and marks, the website, the Companion App, the learning curriculum, the design system, the photography and illustration, and the software behind them are owned by DAOasis or its licensors and are protected by intellectual property law.

You may use them only as these terms allow. You may not copy, reproduce, distribute, publish, modify, create derivative works from, reverse engineer, scrape or extract them, or use them to train a machine learning model, except where these terms permit it, where you have our written permission, or where the law gives you a right that cannot be excluded.

DAOasis learning content is provided for your personal use. It may not be redistributed, resold or used to build a competing offering.

Feedback and suggestions you send us may be used without obligation or compensation. That is not a claim over anything you have created independently — only over comments about our product.

If you believe material on DAOasis infringes your rights, contact us at the details in section 24 with enough information to identify the material and your claim, and we will investigate.

DAOasis links to and integrates with services operated by other companies — health platforms, device manufacturers, app stores, wallet providers, community and social platforms, and where relevant payment providers.

Those services are independent. DAOasis does not control them, does not endorse them by integrating with them, and is not responsible for their content, availability, accuracy, security or practices. Your use of them is governed by their terms and their privacy policies, and it is worth reading both.

If a third-party service changes, restricts or withdraws access, related DAOasis functionality may change or stop working. DAOasis is not liable for that beyond what section 20 allows.

You agree not to:

• Break the law, or use DAOasis for any unlawful purpose.
• Falsify participation — manipulating device or platform data, using bots, scripts, emulators or automation, or logging activity that did not happen.
• Create multiple or fake accounts, or use someone else's account.
• Attempt to exploit, game or manipulate DRC, $DVT, staking, governance or any reward mechanic, including through coordinated behaviour.
• Manipulate any market, engage in fraudulent or deceptive trading practices, or use DAOasis in connection with money laundering, terrorist financing or sanctions evasion.
• Impersonate DAOasis, a DAOasis team member, or anyone else.
• Post content that is unlawful, hateful, harassing, abusive, defamatory, obscene, or that infringes anyone's rights or privacy.
• Give medical, financial, legal or tax advice to other members while presenting yourself as qualified when you are not.
• Promote unrelated investment schemes, tokens, referral programmes or "guaranteed return" offers to members.
• Interfere with the security or operation of DAOasis — probing, scanning, penetration testing without written authorisation, introducing malware, or attempting to gain unauthorised access.
• Overload or disrupt the service, or circumvent rate limits or access controls.
• Scrape or harvest data or personal information from DAOasis, or use it to train a machine learning model.
• Reverse engineer, decompile or disassemble any part of the service, except where the law expressly permits it.
• Resell, sublicense or commercially exploit access to DAOasis.

If you find a security vulnerability, please report it to us rather than exploiting it. Good faith reports are welcome and we will not pursue anyone who reports responsibly and does not access or damage other people's data.

DAOasis is being actively built. Features may be added, changed, delayed, restricted or removed, and the service may be unavailable at times — for maintenance, for technical reasons, or for reasons outside our control.

DAOasis does not guarantee uninterrupted or error-free availability, and does not guarantee that any feature described as planned, in development or in design will be released, or released in the form described.

Changes to these terms

These terms may be updated. Each version carries a version number and date. Where a change materially affects your rights or obligations, we will give reasonable notice before it takes effect — in the app, by email, or prominently on this website. Continuing to use DAOasis after a change takes effect means you accept the updated terms. If you do not accept them, you should stop using DAOasis and may close your account.

To the fullest extent permitted by law, DAOasis is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy and uninterrupted availability.

Without limiting that, DAOasis does not warrant that:

• the service will be uninterrupted, timely, secure or error-free;
• activity, wellness or sleep measurements are accurate, complete or clinically reliable;
• wellness or educational content will produce any particular outcome for you;
• any planned feature — including the marketplace, governance, staking, Stake to Create or the Sanctuary — will be released, or released as described;
• DRC or $DVT will have, retain or increase in any value;
• third-party platforms, devices, wallets or blockchains will remain available, accurate or secure.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited — including, in many jurisdictions, liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and consumer rights that apply regardless of contract. If you are a consumer, you have statutory rights that these terms do not affect.

To the fullest extent permitted by law, DAOasis and its officers, employees and agents will not be liable for:

• indirect, incidental, special, consequential or punitive loss;
• loss of profit, revenue, business, opportunity, goodwill or anticipated savings;
• loss or corruption of data, other than to the extent caused by our failure to take reasonable care;
• any change in the value of DRC or $DVT, or any loss arising from a decision you took in relation to a digital asset;
• loss of private keys, recovery phrases or wallet access, or transactions you authorised and which cannot be reversed;
• the acts, omissions, failures or unavailability of third-party platforms, devices, wallets or blockchain networks;
• any outcome relating to your health, fitness or wellbeing arising from your use of wellness or educational content, subject to the paragraph below.

Where liability cannot lawfully be excluded, and to the extent permitted by law, DAOasis's total liability arising out of or in connection with these terms is limited to the greater of the amount you paid DAOasis in the twelve months before the claim arose, or Liability cap to be confirmed.

Again, and importantly: nothing here excludes liability for death or personal injury caused by negligence, for fraud, or any other liability that applicable law does not allow to be excluded or limited. Some jurisdictions do not permit certain exclusions, in which case the exclusions above apply only to the extent permitted where you live.

To the extent permitted by law, you agree to indemnify DAOasis against claims, losses, liabilities and reasonable costs arising from your breach of these terms, your unlawful or infringing use of DAOasis, or your User Contributions.

This applies to the extent the claim is caused by you, and does not apply where the loss results from DAOasis's own breach, negligence or wrongdoing. If you are a consumer, this section applies only to the extent permitted by the consumer law that applies to you — in some jurisdictions that means it does not apply at all.

DAOasis will notify you of any claim it seeks to be indemnified for, and will not settle it in a way that imposes an obligation on you without your consent.

You may stop using DAOasis and close your account at any time.

DAOasis may suspend or terminate your access, or restrict specific functionality, where you have materially breached these terms, where we are required to by law or regulation, where it is necessary to protect the service or other members, or where we reasonably suspect fraudulent or manipulative activity.

Except where the law prevents it or where doing so would prejudice an investigation or the security of the service, we will tell you the reason and give you an opportunity to respond. Where a suspension follows from a mistake on our part, we will restore access and correct any affected records.

DAOasis may also discontinue the service, or any part of it. Where we do so other than for urgent legal, security or regulatory reasons, we will give reasonable notice.

On termination: your right to use DAOasis ends, any DRC balance associated with the account ends, and information is handled as set out in section 13 of the Privacy Policy. Sections on intellectual property, disclaimers, limitation of liability, indemnification and governing law survive termination. Assets held in your own wallet remain yours and are unaffected by termination of your DAOasis account.

These terms, and any dispute arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction, subject to the paragraph below.

If you are a consumer, you keep the benefit of any mandatory protections of the law of the country where you live, and you may be entitled to bring proceedings there. Nothing in this section removes a right you have under local consumer law.

Before formal proceedings

If something goes wrong, please contact us first. Most issues are resolved faster and better that way than through a formal process, and we would rather fix a problem than argue about it.

General

• If any provision of these terms is found unenforceable, the rest continues to apply.
• If we do not enforce a provision immediately, we do not lose the right to enforce it later.
• You may not transfer your rights under these terms. DAOasis may transfer its rights and obligations as part of a reorganisation or business transfer, and will not do so in a way that reduces your rights.
• These terms, together with the documents referred to in section 01, are the entire agreement between us about DAOasis.
• These terms are written in English. Where a translation is provided for convenience, the English version governs.
